Definitions
"Platform" refers to the BaoForge platform, including all associated sub-domains, APIs, and cloud infrastructure provided under these terms.
"User" means any entity or individual who accesses the Services. "Customer Data" means all data, text, or other content submitted by or on behalf of Customer or its Users to the Service.
"Service Level Agreement" (SLA) refers to the uptime and support commitments provided by M-Roots Technology LLC to enterprise subscribers.
Scope of Service
M-Roots Technology LLC grants you a non-exclusive, non-transferable, limited right to access and use the BaoForge Platform for your internal business operations. We reserve the right to modify, suspend, or discontinue any aspect of the Platform at any time.

Fees & Billing
Subscription Cycles
Fees are billed in advance on a monthly or annual basis and are non-refundable unless otherwise stated in your agreement.
Late Payments
Outstanding balances exceeding 30 days are subject to service suspension and a 1.5% monthly interest charge.
The Customer is responsible for all taxes, duties, and levies associated with their use of the platform, excluding taxes based on M-Roots Technology LLC's net income.
Intellectual Property
M-Roots Technology LLC retains all right, title, and interest in and to the BaoForge Services, including all related intellectual property rights. No rights are granted to Customer hereunder other than as expressly set forth herein.
Customer Rights
You own all data uploaded to the platform. We claim no ownership over your proprietary business logic.
Usage Data
We may collect anonymized usage data to improve platform performance and stability.
Limitation of Liability
In no event shall M-Roots Technology LLC be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses.
Our aggregate liability arising out of or relating to these terms shall not exceed the total amount paid by you to M-Roots Technology LLC in the twelve (12) months preceding the claim.
Termination
Either party may terminate this agreement upon 30 days' written notice. M-Roots Technology LLC may suspend or terminate your access immediately in the event of a material breach.
Upon termination, your right to access the Platform will cease. We will retain your data for 90 days, after which it may be permanently deleted.
